Terms And Conditions<\/span><\/strong><\/p>\n

ARTIST <\/span>AGREEMENT<\/span><\/strong><\/p>\n

THIS AGREEMENT<\/span><\/strong> (the \u201c<\/span>Agreement<\/span><\/strong>\u201d) is by and between<\/span> Artist submitting their work on AirVear.com for review<\/span> (\u201c<\/span>Artist<\/span><\/strong>\u201d) and <\/span>AIRVEAR<\/span><\/strong> for the <\/span>Airvear<\/span> to <\/span>sell Artist\u2019s work, with<\/span> the foregoing parties collectively referred to herein as the \u201c<\/span>Parties<\/span><\/strong>\u201d and individually as a \u201c<\/span>Party<\/span><\/strong>.\u201d \u00a0The Effective Date of this Agreement is <\/span>the date the Artist checks the box <\/span>labeled as \u201cTerms and Conditions\u201d on submission page that is attached to this Agreement. <\/span><\/p>\n

NOW, THEREFORE<\/strong>,<\/span> for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows:<\/span><\/p>\n

1. <\/span>\u200bConditions Precedent<\/span>.<\/span><\/strong><\/span><\/p>\n

\u00a0 \u00a0 a) <\/span>Deliverables <\/span><\/strong><\/p>\n

In order to<\/span> have <\/span>Artist\u2019s submission be considered for listing on Airvear.com <\/span>the Artist agrees to <\/span>provide <\/span>the following<\/span> to the purchaser<\/span>: <\/span><\/p>\n

1) A<\/span>t least 5<\/span> physical print<\/span>s <\/span>of the artwork<\/span> or an original ready to be <\/span>mailed to <\/span>the purchaser within 72 hours of being notified that <\/span>the artwork <\/span>was bought<\/span>. <\/span><\/p>\n

2) A <\/span>Tiltbrush<\/span> or <\/span>Open brush <\/span>sketch file that can be opened on Oculus Quest 2 without connecting it to PC. Alternatively, <\/span>a 360 video of the sketch uploaded to oculus tv, the <\/strong><\/span>link must be provided<\/span><\/strong> to the purchaser<\/strong>. <\/span>This must be uploaded to google drive <\/span><\/p>\n

3) A <\/span>minted <\/span>glb<\/span> file of the <\/span>sketch;<\/span><\/p>\n

4) A <\/span>minted <\/span>1-<\/span>2 minute<\/span> camera paths video of the <\/span>tiltbrush<\/span> sketch with audio and music telling the story about it. The story must have <\/span>a<\/span> spiritual\/personal development message. Video size cannot exceed <\/span>300mb;<\/span><\/p>\n

5) An animation of the picture that is connected to the physical image through Bridge so that the painting would come to life through <\/span>Artivive<\/span>. Video size cannot exceed 100mb. <\/span><\/p>\n

6) Blink link in a QR code<\/span>. If you do not have <\/span>Blink<\/span> please send us the <\/span>glb<\/span> file and we will create the AR experience for you<\/span> for a one time fee of $50<\/span>;<\/span><\/p>\n

7) <\/span>500 character<\/span> bio for the Artist\u2019s personal art page on Airvear.com.<\/span><\/p>\n

8) <\/span>Artist must <\/span>uplaod<\/span> all of<\/span> the items listed in section 1 d) of this agreement <\/span>on a <\/span>flashdrive<\/span> and mail <\/span>the flash drive <\/span>to the purchaser along with the physical artwork <\/span>within 72 hours of being notified that the artwork was bought<\/span>.<\/span><\/p>\n

\u00a0 \u00a0 b) <\/span>NFTs <\/span><\/strong><\/div>\n

The picture, 1-2 minute video, the <\/span>glb<\/span> file and the blink AR QR code <\/span>ALL have to be minted as NFTs<\/span><\/strong> in accordance with section 1b) and 1c) of this <\/span>agreement;<\/span>Artist<\/span> must <\/span>provide a<\/span> link and a<\/span>QR code to the minted <\/span>1-2<\/span> min <\/span>paid NFT <\/span>video<\/span>, see #4 above<\/span>. That <\/span>link<\/span> will be displayed next to the artist\u2019s physical art piece<\/span> to give purchasers an option to buy the physical picture or NFT or both<\/span>. The artist is encouraged to sell their NFTs on Double Reality Meta <\/span>profile <\/span>to increase the chances of the NFT selling. For that<\/span>,<\/span> the artist <\/span>has to<\/span> mint on <\/span>https:\/\/doingud.com\/<\/span><\/a> and transfer<\/strong> the<\/span>\u00a0NFT to Double Reality Meta wallet.<\/span> The wallet address is: <\/span><\/p>\n

That way the Artists\u2019 name as the creator will be preserved in the metadata and the artist will receive royalties from <\/span>the initial sale and <\/span>subsequent sales. <\/span>Artist will <\/span>receive <\/span>15% royalties on secondary sales. <\/span><\/p>\n

\u00a0 \u00a0 c) <\/span>Price arrangement <\/span><\/strong><\/div>\n
1) <\/span>Physical version \u2013 <\/span>paid<\/span>. <\/span><\/div>\n
2) <\/span>NFT <\/span>1-2 <\/span>minute<\/span> video of the <\/span>tiltbrush<\/span> sketch camera paths<\/span>, see #4 <\/span>\u2013 <\/span>paid<\/span>. <\/span><\/div>\n
3) <\/span>Tilt brush file \u2013 <\/span>free<\/span><\/div>\n
4) <\/span>Minted <\/span>NFT <\/span>glb<\/span> file \u2013 <\/span>free<\/span><\/div>\n
5) <\/span>Minted <\/span>NFT Blink AR QR code \u2013 <\/span>free<\/span><\/div>\n
6) <\/span>Minted <\/span>NFT Picture of the artwork \u2013 <\/span>free<\/span><\/div>\n

 <\/p>\n

\u00a0 \u00a0 d) <\/span>Purchaser\u2019s perks <\/span><\/strong><\/div>\n

Upon purchasing the physical <\/span>artwork<\/span> the purchaser will receive for free<\/span> a <\/span>usb<\/span> drive from the artist that has the following<\/span>:<\/span><\/p>\n

1. <\/span>t<\/span>he tilt brush file, <\/span><\/div>\n
2. <\/span>the blink AR link, and <\/span><\/div>\n
3. <\/span>the art will come to life when they look at it through <\/span>Artivive<\/span>.<\/span><\/div>\n
<\/div>\n

Upon purchasing the NFT video, the purchaser will receive for free<\/span>:<\/span><\/p>\n

1. <\/span>a link to the <\/span>tiltbrush<\/span> file in the metadata of the <\/span>glb<\/span> file<\/span>, artist must provide the link to the google drive <\/span><\/div>\n
2. <\/span>the minted <\/span>glb<\/span> file, <\/span><\/div>\n
3. <\/span>the minted Blink AR QR code, <\/span><\/div>\n
4. <\/span>minted picture of the artwork<\/span>, <\/span><\/div>\n
5. <\/span>a link to the 360 <\/span>video<\/span> if any, in the metadata of the minted picture <\/span><\/div>\n
6. <\/span>a link to the 4k version of the video if any, in the metadata of the minted picture<\/span><\/div>\n

 <\/p>\n

\u00a0 \u00a0 e) <\/span>Artists Obligations <\/span><\/strong><\/div>\n

Artist must mint <\/span>all of<\/span> the free NFTs and send these NFTs to the purchaser\u2019s wallet unless <\/span>once the purchaser buys Artist\u2019s NFT. <\/span>Artist must put <\/span>all of<\/span> the items listed in section 1 d) of this agreement <\/span>on a flash drive <\/span>and mail<\/span> it<\/span> to the purchaser along with the physical artwork within 72 hours of being notified that their artwork sold. <\/span>Artist agrees for their submission to be listed on AirVear.com to showcase it, explain <\/span>all of<\/span> the file formats that it will be sold in and include a description about the art and the artist. <\/span><\/p>\n

Artist warrants that <\/span>all of<\/span> the work submitted is their original work and they own all of the rights to it.<\/span><\/strong><\/p>\n

2) <\/span>\u200bProfit sharing<\/span><\/strong><\/p>\n

1<\/span>0% of all profits from the physical art or <\/span>experiences would be retained by AirVear.com<\/span>. Artist will be notified when their art and experience sells. Artist will be asked to provide their preferred method of depositing funds to their account via <\/span>Zelle<\/span>, PayPal or Venmo<\/span><\/p>\n

Artists are encouraged to list commission price at 15% for all of the free NFTs the buyers get when they buy the <\/span>1-2 <\/span>minute<\/span> video so that if the free NFTs are sold, the artist would still get commission. <\/span><\/p>\n

3)<\/span>\u200bMiscellaneous<\/span>.<\/span><\/strong><\/p>\n

\u200b(a) <\/span>\u200bWaiver and Severability.<\/span><\/strong> No waiver of any term, provision or condition of this Agreement, the breach or default thereof, by conduct or otherwise, in one or more instances, shall be deemed to be either a continuing waiver or a waiver of a subsequent breach or default of any such term, provision or condition. If any provision of this Agreement or the application thereof is held by a tribunal of competent jurisdiction to be contrary to law, the remaining provisions of this Agreement shall remain in full force and effect.<\/span><\/p>\n

 <\/p>\n

\u200b(b) <\/span>\u200bIndependent Contractor<\/span><\/strong>.<\/strong> ARTIST is an independent contractor and not an employee of <\/span>Airvear<\/span> for any purpose. <\/span>Airvear<\/span> is not responsible for any employee benefit or withholding or employer tax obligations, social security benefits or unemployment compensation related to Services. This Agreement does not create an employment relationship, association, agency, joint <\/span>venture<\/span> or partnership nor does it impose any liability attributable to such a relationship upon either Party.<\/span><\/p>\n

 <\/p>\n

\u200b(c) <\/span>\u200bNotices.<\/span><\/strong> All notices hereunder shall be in writing and given to the other Party with confirmation of receipt. <\/span>If <\/span>the artist fails to comply with any of <\/span>the<\/span> requirements<\/span> in any of the sections of this agreement<\/span>, artist will be given 48 hours to cure the breach of the agreement. <\/span>In the event that<\/span> the Artists fails to cure the breach, <\/span>Airvear<\/span> will issue the purchaser a full refund, remove Artist\u2019s work from the website and restrict Artist from listing future art or experiences. <\/span><\/p>\n

 <\/p>\n

\u200b(d)<\/span>\u200b Governing Law.<\/span><\/strong> All disputes arising from or in connection with this Agreement, or the enforcement or construction hereof, shall be governed by and resolved in accordance with the laws of California, USA as such laws <\/span>are<\/span> applied to a transaction between residents of that state. <\/span><\/p>\n

 <\/p>\n

\u200b(e)<\/span>\u200b Assignment. <\/span><\/strong>ARTIST shall not assign, sell, mortgage, or pledge any rights or obligations hereunder, in whole or in part, without <\/span>Airvear<\/span> \u2019s prior written consent, it being understood that ARTIST\u2019s obligations and duties are personal to ARTIST, and any purported assignment shall be null and void. <\/span>Airvear<\/span> may freely assign this Agreement or any rights hereunder, in whole or in part, to any person, firm or corporation. This Agreement shall inure to the benefit of <\/span>Airvear<\/span> \u2019s successors, licensees, and assigns. <\/span><\/p>\n

 <\/p>\n

(f)<\/span>\u200b Counterparts.<\/span><\/strong> This Agreement may be executed in counterparts, each of which <\/span>shall be deemed an original and all of which together shall constitute one and the same document.<\/span><\/p>\n

 <\/p>\n

\u200b(g)<\/span>\u200b Entire Agreement<\/strong>.<\/span> This Agreement contains the entire understanding of the Parties with respect to its subject matter and supersedes any prior agreements between the Parties. Any representations or agreements by an agent or representative of either Party to the contrary shall be of no force and effect. No modification, variation or amendment of this Agreement is effective unless made in writing and signed by the Parties. <\/span><\/p>\n

 <\/p>\n

(h)<\/span>\u200b Breach and Cure<\/strong>.<\/span> No act or omission of <\/span>Airvear<\/span> constitutes a breach or default of this Agreement unless ARTIST first notifies <\/span>Airvear<\/span> in writing and <\/span>Airvear<\/span> has not commenced to cure such default within thirty (30) days.<\/span><\/p>\n

BY <\/span>CHEKING THE BOX NEXT T<\/span>O<\/span> TERMS AND CONDITIONS THE ARTIST IS <\/span>SIGNING THIS AGREEMENT, EACH PARTY ACKNOWLEDGES AND AGREES THAT THEY HAVE READ AND FULLY UNDERSTOOD THIS AGREEMENT, AND THAT THEY HAVE CONSULTED WITH AN ATTORNEY REGARDING ANY QUESTIONS THEY MAY HAVE OR HAVE VOLUNTARILY ELECTED NOT TO DO SO.<\/span><\/strong><\/p>\n","protected":false},"excerpt":{"rendered":"
